Terms of Service

1. Acceptance of Terms

By accessing or using our site and services, you agree to these Terms. If you are engaging us for consulting, a separate Statement of Work (SOW) or Master Services Agreement (MSA) may also apply; in the event of conflict, the SOW or MSA governs.

2. Service Description and Scope

We provide software consulting and related services, including architecture, development, integration, modernization, and DevOps advisory. Specific deliverables, timelines, and responsibilities are defined in an SOW or MSA and may reference our frameworks or tools.

3. User Responsibilities

You are responsible for providing accurate information, timely feedback, access to necessary systems, and ensuring your use of deliverables complies with applicable laws. For website use, do not engage in abusive, harmful, or unlawful behavior.

4. Intellectual Property

Unless otherwise agreed in writing, pre-existing IP and frameworks remain the property of their respective owners. Project-specific deliverables created for you will be licensed or assigned as defined in the SOW or MSA. You receive the rights necessary to use deliverables for your business purposes, subject to agreed terms.

5. Consulting Engagement Terms

Engagements are governed by the SOW or MSA, including scope, pricing, acceptance criteria, timelines, assumptions, change control, and approval processes. Travel and out-of-pocket expenses (if any) are handled per the agreement. Delays caused by missing inputs may adjust timelines.

6. Limitation of Liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Direct liability is limited to amounts paid for the applicable services in the 12 months preceding the claim, unless otherwise stated in the SOW or MSA.

7. Termination and Modifications

Either party may terminate per the SOW or MSA or applicable law. We may update these Terms to reflect legal, technical, or business changes. Material changes will be indicated by the Last Updated date and, where appropriate, additional notice.
